These terms (“Terms”) govern your use of Inspectly's platform and services (“the Service”). By using the Service, you accept these Terms as well as associated policies.
If a separate written agreement has been entered into with Inspectly, this shall take precedence in the event of any discrepancies.
Relation to other documents
The use of the Service is also regulated by Inspectly's other legal documents, including the Privacy Policy, Data Processing Agreement (DPA), Service Level Agreement (SLA), and other platform policies.
In the event of discrepancies between the documents, the following order of priority applies:

The Service
Inspectly provides a digital platform for quality management, documentation, and communication in the construction and civil engineering industry.
Inspectly may additionally deliver services beyond the subscription itself, including implementation, onboarding, and consultancy assistance. Such services are delivered by separate agreement.
Inspectly continuously develops and improves the Service. Inspectly may at any time add, change, or remove functionality in the Service without prior notice.
Trial Period
Inspectly may offer a free trial period during which you can freely test the functions, possibilities, and limitations of the Service.
If at the expiry of the trial period no agreement has been made for a subscription, Inspectly is entitled to delete data collected or created during the trial period.
User Access
You are responsible for:
protecting your login details
all activity on your account
You must contact us immediately if you suspect unauthorized access.
Prices and Payment
The Service is offered at the list prices in force at any time, which are displayed upon purchase. All prices are stated excl. VAT.
By starting a subscription, you accept the displayed price and payment model, unless otherwise agreed separately.
The subscription is paid in advance for the selected payment period and runs until terminated.
Payment for the Service is fundamentally done via card payment. Invoice payment is only offered by separate agreement.
Inspectly adjusts prices annually on January 1st. The annual price adjustment amounts to between 3% and 5%. Adjustments beyond this range are notified separately.
Services beyond the subscription, including implementation and consultancy, are invoiced at “go-live” as defined in the project plan provided.
With card payment, Inspectly reserves the right to reject or block credit cards that are not issued in the country where the Service is offered, as well as to reject certain credit cards.
In case of non-payment or late payment, Inspectly may suspend access to the Service. In case of late payment, Inspectly is furthermore entitled to charge interest, reminder fees, and debt collection costs in accordance with applicable legislation.
It is the customer's responsibility to ensure that correct contact and billing information is provided, and that sent invoices are received.
Customer Data
You own your data.
By using the Service, you grant Inspectly the right to:
process your data
store and host them
use them for operating and improving the Service
You have the option to export your data from the Service in a commonly used and machine-readable format.
Inspectly provides API/features for exporting data in connection with the termination of the agreement.
Upon termination of the agreement, the customer may, in connection with the cancellation, request the deletion or return of the customer's data.
If the customer does not request deletion or return in connection with the cancellation, Inspectly anonymizes data from the account. Anonymized data cannot be attributed to the customer, users, projects, or other identifiable circumstances, and can be used for statistics, analysis, product development, as well as training and improvement of Inspectly's features and AI models.
Image materials, free text, and other materials that cannot be anonymized with reasonable certainty are deleted or omitted from the anonymization process.
Personal data that is not anonymized is fundamentally deleted no later than 30 days after the termination of the agreement, unless longer storage is required under legislation or as part of customary backup procedures.
The processing of personal data is otherwise regulated by our data processing agreement and privacy policy.
Use of the Service
You must not use the Service for:
unlawful purposes
storing or sharing harmful or illegal content
disrupting or abusing the Service
Detailed guidelines for the acceptable use of the Service are set out in Inspectly's Acceptable Use Policy, which forms an integral part of these Terms.
Inspectly may suspend access in case of misuse.
Rights
Inspectly owns all rights to the Service, including software, design, functionality, and business concepts as well as written materials such as documentation, training material, and reports prepared by Inspectly. This applies to both current and future editions.
You retain ownership of your own data.
References
Inspectly is entitled to use the customer's name and logo as a reference, including on Inspectly's website and in marketing materials. The customer may object to such use at any time by written notice to Inspectly.
Operation and Changes
Inspectly strives for high uptime, but does not guarantee uninterrupted access.
Further information can be found in our Service Level Agreement (SLA).
Third-Party Services
The Service contains integrations and dependencies on third-party services. Inspectly is not responsible for third-party services or their availability.
An updated list of sub-processors is available to customers via the Inspectly platform after login. Non-customers can request a copy by contacting Inspectly.
AI and Automated Features
The Service includes features based on artificial intelligence.
Output from AI is advisory and may contain errors or omissions.
You are responsible for evaluating and validating the output before it is used.
Confidentiality
The parties commit to treating confidential information responsibly and not disclosing it without consent.
Confidential information includes, among other things, information about the Service as well as the contractual and economic terms between the parties.
Force Majeure
The parties' obligations under the agreement are postponed in case of force majeure, which means circumstances beyond the control of the party, which the party should not have taken into account at the time of entering into the agreement, including strikes as well as breakdowns or failures of subcontractors.
Force majeure can only be claimed if the affected party has notified the other party in writing within 10 business days after the situation occurred.
If significant parts of a delivery are prevented for more than 60 days as a result of force majeure, either party may cancel the affected delivery.
Liability
Inspectly is not liable for:
indirect loss
loss of data, revenue, or profit
Inspectly's total liability is limited to the amount you have paid in the past 3 months preceding the event giving rise to the claim.
If a third party makes a claim against one of the parties due to circumstances covered by these Terms, the other party must be notified immediately.
Transfer
Rights and obligations under the agreement cannot be transferred by the customer without Inspectly's prior written consent.
Inspectly may transfer the agreement as part of a restructuring, merger, or full or partial transfer of the business.
Termination
The agreement enters into force upon purchase and runs until terminated.
The agreement can be terminated up to the end of the period paid for. Already paid periods are not refunded.
Downgrading of the subscription can take effect from the expiry of the current payment period.
Inspectly suspends or terminates access to the Service with immediate effect if:
payment obligations are not met
the Terms are violated
Processing of customer data after the termination of the agreement is regulated in section 7 (Customer Data).
Provisions that by their nature must survive after the termination of the agreement, including terms on rights, confidentiality, liability, and governing law, shall continue to apply.
Changes
Inspectly may update these Terms.
Significant changes will be communicated via the Service or email.
Governing Law and Venue
The Terms are governed by Danish law.
Disputes will initially be sought to be resolved amicably. If the parties cannot reach an agreement, the dispute will be settled by the Danish courts with the Court of Aarhus as the agreed venue in the first instance.
Language
These Terms have been prepared in Danish.
